Acceptance of Terms

Welcome to Freight Broker Boss (“Company,” “we,” “our,” or “us”).

These Terms of Service (“Terms”) govern your access to and use of the Freight Broker Boss website, software platform, applications, and related services (collectively, the “Services”).

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Services.

If you are using the Services on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

• Reverse engineer or attempt to access source code

• Modify, copy, or create derivative works

• Use the Services for unlawful purposes

• Interfere with the operation or security of the Services

Subscription Fees and Billing

Certain features require a paid subscription.

By purchasing a subscription, you agree to:

• Pay all applicable fees

• Provide valid payment information

• Authorize recurring charges according to your selected plan

Subscription fees are billed in advance and are non-refundable except where required by law or specifically stated by us.

We reserve the right to modify pricing at any time. Existing customers will be provided notice before pricing changes take effect.

Cancellation

You may cancel your subscription at any time.

Unless otherwise stated, cancellation will stop future billing but will not result in a refund for the current billing period.

Access to paid features may continue until the end of the current subscription term.

Customer Data

You retain ownership of the information and data you upload to the Services (“Customer Data”).

You grant Freight Broker Boss a limited license to host, process, store, and transmit Customer Data solely for the purpose of providing the Services.

You are solely responsible for:

• The accuracy of Customer Data

• Maintaining appropriate backups

• Compliance with applicable laws and regulations

Acceptable Use

You agree not to use the Services to:

• Violate any law or regulation

• Transmit malicious software

• Attempt unauthorized access to systems or accounts

• Interfere with service operation

• Upload unlawful, fraudulent, or harmful content

• Use the Services to harass or harm others

We reserve the right to suspend or terminate accounts that violate these Terms.

Intellectual Property

The Services, software, trademarks, logos, content, and related intellectual property are owned by Freight Broker Boss or its licensors.

Except for the limited license granted in these Terms, no ownership rights are transferred to you.

Third-Party Services

The Services may integrate with third-party providers, including email platforms, payment processors, mapping services, load boards, accounting software, and other business tools.

We are not responsible for the availability, functionality, or policies of third-party services.

Your use of third-party services may be governed by separate agreements.

Service Availability

We strive to provide reliable service but do not guarantee uninterrupted availability.

The Services may occasionally be unavailable due to:

• Maintenance

• System upgrades

• Third-party outages

• Internet disruptions

• Events beyond our reasonable control

Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FREIGHT BROKER BOSS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING:

• MERCHANTABILITY

• FITNESS FOR A PARTICULAR PURPOSE

• NON-INFRINGEMENT

• ACCURACY OR RELIABILITY OF INFORMATION

WE DO NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FREIGHT BROKER BOSS SHALL NOT BE LIABLE FOR:

• INDIRECT DAMAGES

• INCIDENTAL DAMAGES

• CONSEQUENTIAL DAMAGES

• LOST PROFITS

• LOST REVENUE

• LOSS OF DATA

• BUSINESS INTERRUPTION

OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO FREIGHT BROKER BOSS DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless Freight Broker Boss, its owners, employees, contractors, and affiliates from any claims, damages, liabilities, costs, or expenses arising from:

• Your use of the Services

• Your Customer Data

• Your violation of these Terms

• Your violation of applicable laws

Termination

We may suspend or terminate access to the Services at any time if:

• You violate these Terms

• Payment obligations are not met

• Continued access creates legal or security risks

Upon termination, your right to access the Services will immediately cease.

Changes to the Services

We may modify, update, discontinue, or remove features of the Services at any time without liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict of law principles.

Any dispute arising from these Terms shall be resolved in the state or federal courts located in Arizona, and you consent to the jurisdiction of those courts.

Changes to These Terms

We may update these Terms from time to time.

Updated versions will be posted on this page with a revised effective date. Continued use of the Services constitutes acceptance of the updated Terms.
